Ao fim de doze anos em direito comercial, Mariana achava que já sabia onde morava o perigo nas negociações. Sabia ler a má-fé no espaçamento das frases, a desonestidade na escolha dos advérbios. O que o caso da fusão entre a Tecliber e a Solaris lhe ensinou foi algo que nenhum manual jurídico explicitara com clareza suficiente: que a maior ameaça a qualquer negociação não é a má-fé, mas a boa-fé mal calibrada — o que cada parte pressupõe como óbvio e partilhado, sem nunca ter dado ao outro a oportunidade de confirmar ou desmentir.

After twelve years in commercial law, Mariana thought she knew where the danger lived in negotiations. She could read bad faith in the spacing between sentences, dishonesty in the choice of adverbs. What the merger case between Tecliber and Solaris taught her was something no legal manual had explained with sufficient clarity: that the greatest threat to any negotiation is not bad faith, but poorly calibrated good faith — what each party presupposes as obvious and shared, without ever giving the other the opportunity to confirm or deny it.

Nenhuma das partes pressupusera que a outra pressupunha algo radicalmente diferente sobre a mesma formulação — porque, como sucede com frequência nas negociações de alto valor, cada lado pressupunha que o sentido era óbvio, e a obviedade não precisa de explicação. É a tirania do óbvio: o que vai sem dizer tende a ir sem ser dito, e é precisamente aí que os contratos se partem.

Tecliber presupposed that the geographical exclusivity clause covered the entire Iberian Peninsula. Solaris presupposed it was limited to Portuguese territory. Neither party had presupposed that the other was presupposing something radically different about the same formulation — because, as often happens in high-value negotiations, each side presupposed that the meaning was obvious, and the obvious requires no explanation. It is the tyranny of the self-evident: what goes without saying tends to go unsaid, and it is precisely there that contracts break apart.

Mariana havia passado três semanas a construir o contrato, palavra por palavra, vírgula por vírgula. Pressupusera, como era habitual na sua prática — e como ela própria reconheceria depois com alguma amargura —, que os termos técnicos tinham o mesmo referencial semântico para ambas as partes. Não era negligência; era confiança excessiva na partilha implícita de linguagem. Só quando a Solaris assinou e começou a operar em Espanha, abrindo escritórios em Madrid e Barcelona sem qualquer hesitação, é que a contradição emergiu com toda a sua brutalidade. "Because the contract presupposes that the exclusivity is territorial in scope, not national in scope," replied Solaris's lawyer with the composure of someone who had read the same paragraph fifty times. "The formulation presupposes a reading of European Community law, not national law." Mariana listened to both arguments in the meeting room with its windows facing the Tagus and recognised, with growing unease, that both presupposed legitimate but absolutely irreconcilable grounds. It was the kind of situation that manuals described in theory but which rarely materialised with such disconcerting clarity in actual practice.

A solução que Mariana propôs ao longo de uma semana de reflexão pressupunha uma abordagem que, em vinte anos de prática, havia aplicado apenas duas vezes: uma cláusula de intenção retroativa, instrumento que não dissolvia a ambiguidade original mas antes estabelecia consenso explícito sobre o que cada parte pressupunha na data em que assinara. Era juridicamente impuro — ela própria o admitia —, mas era pragmático. Pressupunha, acima de tudo, que ambas as partes preferiam um acordo funcional e imperfeito a uma litigação de anos que enriqueceria apenas os advogados.

The solution Mariana proposed after a week of reflection presupposed an approach that, in twenty years of practice, she had applied only twice: a retroactive intention clause, an instrument that did not dissolve the original ambiguity but instead established explicit consensus on what each party had presupposed on the date of signing. It was legally impure — she admitted as much herself — but it was pragmatic.
